1. CONTRACT ACTIVATION, VALIDITY & BLOCKCHAIN VERIFICATION
This Commercial License Agreement (the "Agreement") is a legally binding contract between Semenov Vitaly (the "Licensor") and the purchasing entity or private individual (the "Licensee") who completes the digital cryptocurrency checkout at ://vitsem.com.
CRITICAL LEGAL CONDITION: This document is strictly non-valid, void, and carries no legal weight unless accompanied by a verified Blockchain Transaction Hash (TXID) confirming the successful transfer of the designated funds (USDT or equivalent cryptocurrency) to the official digital ledger addresses owned by VitSem Music Lab. The immutable record within the public blockchain network serves as the ultimate digital signature, date stamp, and absolute proof of purchase for auditing and compliance authorities worldwide.
2. SCOPE OF GRANTED RIGHTS (COMMERCIAL PLAYBACK & SYNC)
Subject to the terms of this Agreement, the Licensor hereby grants the Licensee a non-exclusive, worldwide, perpetual (lifetime), transferable solely to the designated venue or digital asset, and royalty-free right to utilize the original audio works included in the purchased volume or package.
Authorized commercial use is defined as follows:
- Public Ambient Playback (HoReCa & Business): Continuous broadcast and background playback within physical, commercial, hospitality, or public venues of any type, including, but not limited to: cafes, fine dining restaurants, bars, hotel lobbies, lounges, luxury wellness spas, beauty salons, retail stores, showrooms, offices, fitness centers, medical clinics, co-working spaces, and any other public, private, or business environments.
- Digital Media Synchronization (Sync Rights): Integration and synchronization of the audio material into digital video assets, public streaming events, independent cinema, YouTube videos, wedding films, corporate presentations, podcasts, mobile applications, and paid social media advertising campaigns.
3. RESTRICTIONS & RETAINED OWNERSHIP
- Non-Exclusive Term: This is a strictly non-exclusive agreement. The Licensor retains 100% of the master rights, publishing ownership, and underlying intellectual property of the musical works. The Licensor reserves the right to license the exact same audio assets to other clients globally.
- No Re-Sale or Sub-Licensing: The Licensee cannot repackage, sub-license, rent, donate, or distribute the standalone audio assets on any secondary audio stock platforms, marketplaces, or file-sharing networks.
- Performance Rights: The Licensee is exempted from paying any additional monthly performance royalties or hidden licensing fees to the Licensor.
4. AUTOMATED DIGITAL COPYRIGHT CLAIMS (SELF-RESOLUTION ID NOTICE)
The Licensor utilizes global digital fingerprinting networks and distribution services to actively protect original intellectual property against online piracy.
- Independent Claim Resolution: If the Licensee synchronizes the licensed tracks into digital video platforms (e.g., YouTube) and receives an automated system notice regarding copyright clearance, the Licensee can independently resolve the claim.
- Dispute Mechanism: The Licensee is authorized to use YouTube’s internal dispute/appeal tool directly within their platform manager. To clear the claim without the Licensor’s manual involvement, the Licensee must paste the text of this Agreement along with their cryptographic Blockchain Transaction ID (TXID) into the dispute justification field. The Licensor’s distribution network will verify the TXID and automatically release the claim remotely. Backup manual clearance remains available via lab@vitsem.com if required.
5. INDEMNIFICATION & WARRANTY
The Licensor explicitly warrants and guarantees that they are the sole author, legal master-owner, and unchallenged rightsholder of all musical compositions distributed via ://vitsem.com, and that the audio material does not infringe upon any third-party copyrights. This Agreement is governed under international copyright treaties and intellectual property conventions.
6. DIGITAL NATURE & NO-REFUND POLICY
Due to the digital nature of the audio assets and the immediate download access granted upon payment confirmation, all cryptocurrency transactions are permanent, final, and strictly non-refundable.
